What Goes Into an Offer to Purchase?

An Offer to Purchase (also called an Agreement of Purchase and Sale in Ontario) is a legally binding document. Every term matters. Here is what we negotiate together:

Purchase Price

I prepare a Comparative Market Analysis (CMA) before any offer is submitted. This tells us what similar homes have actually sold for in the area — not asking prices, but real sale prices. We use this to craft a number that is competitive but not reckless.

Deposit

In Ontario, a deposit accompanies the offer as a show of good faith. Typically 1% to 5% of the purchase price, due within 24 hours of acceptance. This is held in trust by the brokerage and applied to your purchase price at closing — it is not an extra cost.

Conditions

Conditions protect you. The most common are: financing condition (gives you time to confirm your mortgage), home inspection condition (gives you time to have the home inspected), and sometimes a status certificate review for condos. Conditions are negotiable — I advise you on which ones you need and when it might be appropriate to structure them differently.

Closing Date

This is the date you take possession. In the Ottawa Valley, 30 to 90 days is typical. Military buyers often need closing dates to align with their posting date. I negotiate closing dates that work for your specific situation, not just the seller’s preference.

Inclusions and Exclusions

What stays and what goes? Appliances, window coverings, fixtures, and sometimes hot tubs or sheds can be negotiated as inclusions. If something matters to you, we put it in the offer.

Common Offer Questions Answered

How long does a seller have to respond to my offer?
Every offer has an irrevocability clause — a deadline by which the seller must respond. This is typically 24 to 48 hours in Ontario. If they do not respond by that time, the offer expires and you are free to make offers elsewhere. I recommend keeping this window tight to maintain momentum.
Can I make offers on multiple homes at the same time?
Technically you can, but it creates serious complications if more than one is accepted. In most situations, I advise against it. Better to focus your energy on your top choice and move quickly if needed.
What happens to my deposit if the deal falls apart?
If your offer has a condition (like financing or inspection) and you properly exercise that condition to void the deal, your deposit is returned. If the deal collapses after all conditions are waived, the deposit situation becomes more complex — which is exactly why having the right conditions matters.
Should I ever offer over asking price?
Sometimes, yes — particularly in competitive situations on well-priced properties. But it depends entirely on the market data, the property, and the competition. I will never push you to offer more than a property is worth. The CMA we run together tells us the real story.
